1. Introduction

1.1. “Dee Commerce” is the trading name for Deecommerce company (“Deecommerce” or “we”) operates an e-commerce platform consisting of a website (“marketplace”) together with supporting IT, logistics, and payment infrastructure for the sale and purchase of consumer products and services (“products”)

1.2. These general terms and conditions shall apply to buyers and sellers on the marketplace and govern your use of the marketplace and related services.

1.3. By using our marketplace you accept these general terms and conditions in full. If you disagree with these general terms and conditions or any part of them, you must not use our marketplace.

1.4. If you use our marketplace in the course of a business or organizational project, by doing so you:
1.4.1. Confirm that you have obtained the necessary authority to agree to these general terms and conditions;
1.4.2. Bind both yourself and the company or legal entity that operates that business or project to these general terms and conditions; and
1.4.3. Agree that in these general terms and conditions, references to “you” apply both to the individual user and the relevant company or entity unless the context requires otherwise.

2. Registration and Account

2.1. You may not register with our marketplace if you are under 18 years of age (by using our marketplace or agreeing to these general terms and conditions, you warrant that you are at least 18 years old).

2.2. If you register for an account, you will be asked to provide an email address/user ID and password, and you agree to:
2.2.1. Keep your password confidential;
2.2.2. Notify us immediately if you become aware of any disclosure of your password;
2.2.3. Be responsible for any activity on our marketplace arising from any failure to keep your password confidential;
2.2.4. Use your account exclusively and not transfer it to any third party;
2.2.5. We may suspend or cancel your account and/or edit your account details at any time at our discretion. If we cancel any products or services you have paid for but not received and you have not breached these terms, we will refund you.

3. Terms and Conditions of Sale

3.1. You acknowledge and agree that:
3.1.1. The marketplace provides an online location for sellers to sell and buyers to purchase products;
3.1.2. We may accept binding sales on behalf of sellers but (unless Dee Commerce is indicated as the seller) Dee Commerce is not a party to the transaction;
3.1.3. A contract for sale and purchase is between the buyer and seller upon the buyer’s confirmation of purchase.

3.2. Subject to these general terms, the seller’s terms govern the contract, with the following incorporated provisions:
3.2.1. Product prices are as listed;
3.2.2. Prices include all applicable taxes;
3.2.3. Delivery and ancillary charges are payable by the buyer only if clearly stated;
3.2.4. Products must be of satisfactory quality, fit for purpose, and conform to their description;
3.2.5. Sellers warrant they have the right to supply the products and that the products are not subject to third-party rights or restrictions.

4. Returns and Refunds

4.1. Returns and acceptance of returned products shall follow the Returns Page on the marketplace. Acceptance is at our discretion and subject to local law.

4.2. Refunds shall follow the Refunds Page on the marketplace. Refunds may include:
4.2.1. Product price;
4.2.2. Applicable shipping fees;
4.2.3. By store credits, vouchers, mobile money, bank transfers, or other methods.

4.3. Returns and refunds for digital products or fresh food are issued for delivery failures only. Other refunds follow the seller’s terms.

4.4. Updates to the Returns or Refunds Pages apply to all purchases from the publication date.

5. Payments

Payments must be made in accordance with the Payments Information and Guidelines on the marketplace.

6. Store Credit

Store credits are managed per Dee Commerce Store Credit Terms. Dee Commerce may cancel or withdraw credits in cases of suspected fraud.

7. Promotions

Promotions and competitions are managed under Promotion Terms and Conditions on our website.

8. Rules About Your Content

8.1. “Content” means all material you submit to the marketplace, including text, images, video, audio, software, reviews, and communications.

8.2. Content must be accurate, complete, truthful, appropriate, civil, and must not:

• Be offensive, obscene, violent, discriminatory, deceptive, spammy, or illegal;
• Infringe third-party rights including copyright, privacy, contractual obligations, or court orders.

8.3. You may not use the marketplace to link to unlawful material, submit material subject to legal proceedings, or post fake reviews.

8.4. You must not interfere with other users’ transactions or attempt to collect payments outside the marketplace.

8.5. DeeCommerce may review, remove, or edit content at its discretion.

9. Our Rights to Use Your Content

9.1. You grant Dee Commerce a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, and distribute your content across our marketplace and marketing channels.

9.2. You waive all moral rights to the maximum extent permitted by law.

9.3. Dee Commerce may delete, unpublish, or edit content if rules are breached.

10. Use of Website and Mobile Applications

10.1. “Marketplace” and “website” refer to Dee Commerce websites and apps.

10.2. You may view, download (for caching), print, stream media, or use services through your browser for personal and business purposes related to marketplace transactions.

10.3. You must not download or modify material, republish it without permission, or exploit it commercially, except where explicitly allowed.

10.4. Dee Commerce may suspend or restrict access for maintenance, updates, or at its discretion.

10.5. You must not damage, hack, probe, circumvent security, scrape data, or use the website for illegal purposes.

11. Copyright and Trademarks

11.1. Dee Commerce and its licensors own all copyright and intellectual property rights in the website and its materials.

11.2. Dee Commerce logos and trademarks are owned by us; third-party trademarks remain the property of their respective owners.

12. Data Privacy

12.1. Buyers agree to processing of personal data under Dee Commerce’s Privacy and Cookie Notice.

12.2. Dee Commerce processes all personal data obtained via the marketplace per its Privacy Policy.

12.3. Sellers are directly responsible to buyers for misuse of their personal data; Dee Commerce bears no liability.

13. Due Diligence and Audit Rights

Dee Commerce may perform anti-fraud, AML checks, and request information to verify compliance.

14. Deecommerce’s Role as a Marketplace

14.1. Dee Commerce facilitates transactions but sellers remain liable for their products.

14.2. Sellers warrant the completeness and accuracy of their product information.

14.3. Dee Commerce does not guarantee fault-free operation or uninterrupted service, including during force majeure events.

14.4. Marketplace services may be discontinued or altered at our discretion; prior notice of 15 days will be given when not related to force majeure.

15. Limitations and Exclusions of Liability

15.1. Dee Commerce limits liability as allowed by law; total liability will not exceed amounts paid under the contract.

15.2. Dee Commerce is not liable for free services, indirect losses, business losses, or data loss.

15.3. Links to third-party websites do not imply endorsement; Dee Commerce is not responsible for them.

16. Indemnification

You indemnify Dee Commerce against losses, damages, costs, and tax liabilities arising from your use of the marketplace or breach of these terms.

17. Breaches

17.1. Accounts remain open indefinitely, subject to these terms.

17.2. Breaches may result in suspension, prohibition, account deletion, or legal action.

17.3. You must not circumvent restrictions.

18. Entire Agreement

These terms, the seller terms, and any Dee Commerce policies constitute the entire agreement.

19. Hierarchy

In case of conflict, the order of precedence is: general terms, seller terms, Dee Commerce policies.

20. Variation

Dee Commerce may revise terms, which apply from the date of publication on the marketplace.

21. No Waiver

Failure to enforce a provision does not constitute a waiver of rights.

22. Severability

If any provision is unlawful or unenforceable, the remainder remains in effect.

23. Assignment

Dee Commerce may assign its rights; you may not assign yours without prior consent.

24. Third-Party Rights

These terms benefit only you and Dee Commerce; no third party has enforceable rights.

25. Law and Jurisdiction

These terms are governed by the laws of the territory. Disputes fall under the exclusive jurisdiction of the courts of the territory.
